Is My Business Community or Separate Property?

The first question in any business divorce is how much of the company, if any, the marital estate can reach. Timing usually drives the answer:

A business started during the marriage is presumed community property, even if only one spouse runs it and even if it is held in one spouse's name.
A business owned before the marriage starts out as separate property.

The line is rarely that clean. A separate-property business may remain separate, but the community estate can still have claims tied to income, reimbursement, undercompensated labor, debt reduction, or community funds used to support or grow the company.

The issue is not simply whether the business increased in value during the marriage. The issue is what caused that increase, how the owner was compensated, what funds were used, and what the records can prove. Overcoming the community property presumption requires clear and convincing evidence, which makes tracing and documentation critical.

How a Business Is Valued in a Texas Divorce

Before a business can be divided, it must be valued, and valuation is where many of these cases are won or lost. A qualified appraiser typically relies on one or a combination of three approaches:

Income approach. Values the business based on its earnings and projected future cash flow.
Market approach. Compares the business to similar companies that have recently sold.
Asset approach. Totals the company's tangible and intangible assets and subtracts liabilities.

Goodwill is often the most contested piece. Texas divides it in two:

Enterprise goodwill belongs to the business itself and would survive the owner's departure, so it is treated as community property subject to division.
Personal goodwill is tied to the owner's individual skill, reputation, and relationships, and Texas treats it as separate property that cannot be divided.

For an owner whose company depends heavily on them personally, that distinction can dramatically reduce the divisible value, which is why the valuation method and the assumptions behind it matter so much.

Options for Dividing a Business During Divorce

Once value is established, spouses rarely end up as co-owners. In most cases, one spouse keeps the business and the other is made whole another way. Common approaches include:

Buyout. The owning spouse pays the other for their share of the community interest, sometimes over time through a settlement note.
Asset offset. The owning spouse keeps the business and the other spouse receives other assets of comparable value, such as the home, retirement accounts, or investments.
Sale. The business is sold and the proceeds divided, typically a last resort when a buyout or offset is not workable.
Continued co-ownership. Rare, and only viable when former spouses can keep working together.

Which path fits depends on the value of the business, the rest of the estate, and how much liquidity is available to fund a buyout.

Protecting Your Business in a Divorce

What you do during the case affects the outcome. Courts can scrutinize and even reverse suspicious transactions, so steady, well-documented conduct protects you. A few measures consistently help:

Keep the business running normally and avoid unusual financial moves
Preserve complete financial records, tax returns, and formation documents
Hold off on major asset sales or new debt while the case is pending
Assemble your attorney, valuation expert, and tax advisor early

Prenuptial and postnuptial agreements, where they exist, can also control how a business is treated and often simplify the entire process.

Can My Spouse Take Half My Business?

Not automatically. Only the community portion of the business is divisible, and Texas divides community property in a "just and right" manner rather than a strict 50/50 split. How much your spouse can reach depends on characterization and value.

What if I Started the Business Before We Married?

The business begins as your separate property, but appreciation in its value during the marriage from your effort, or community funds invested in it, can create a community claim your spouse may share in.

Will I Have to Sell My Business?

Usually not. Most cases are resolved through a buyout or by offsetting the business's value with other assets, allowing you to keep the company intact.

Can My Spouse Claim Part of a Business They Never Worked In?

Possibly. Texas recognizes that a spouse managing the household can enable the other to build a company, so direct involvement in the business is not required for a community interest to exist.
